1. Acceptance
By contracting Fitcode services you accept these terms. If you don't agree, don't contract the service.
2. Services
Fitcode designs, builds and operates custom software under a setup + monthly subscription model. The specific scope, deliverables and prices are documented in a formal Quote signed by both parties.
3. Payments
Setup is invoiced at project start, in one or two installments as agreed. The monthly subscription is invoiced on the first calendar day of each month, in advance, throughout the contract term. Payments in MXN unless otherwise agreed. Delays beyond 15 business days may result in temporary service suspension.
4. Term and termination
Minimum term per tier (Starter/Pro: 12 months; Enterprise: 24 months) renewable monthly. Either party may terminate the contract with 30 days notice once the minimum term is met, without penalty. Early cancellation by the client requires paying the remaining months of the minimum term.
5. Intellectual property
Source code and documentation are property of the client at the end of the contract and after full payment. During the term, Fitcode retains an operating license over the code to host and operate it. Open-source tools, frameworks and libraries used by the system are governed by their original licenses.
6. Confidentiality
Both parties commit to treat as confidential all commercial, technical, financial or client information we have access to. The obligation survives 5 years after contract termination.
7. Limitation of liability
Fitcode's total accumulated liability under the contract shall not exceed the amount of the last 6 monthly fees paid. We exclude indirect damages, lost profits or lost opportunity.
8. Governing law
These terms are governed by the laws of Mexico. Any controversy will be resolved before the competent courts of Mexico City.
